Section 01

Acceptance of Terms

Welcome to the website operated by Zybro Tecnologia Ltda ("Zybro," "we," "our," or "us"). By accessing or browsing this website — located at zybrousa.com and any associated subdomains or pages — you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use, as well as by our Privacy Policy, which is incorporated herein by reference.

These Terms govern your use of this website solely as a corporate informational resource. If you do not agree with any part of these Terms, you must discontinue use of the website immediately. Access to this site is offered free of charge and does not establish any contractual, employment, partnership, or agency relationship between you and Zybro beyond what is expressly stated herein.

By continuing to navigate this website after any update to these Terms is published, you confirm your acceptance of the revised version. We therefore recommend reviewing this page periodically to remain informed of any changes.

These Terms apply to all visitors, regardless of whether they are individuals acting in a personal capacity or representatives of companies, institutions, or government bodies. If you are accessing the website on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Section 02

Use of the Website

This website is published for lawful, informational purposes only. Zybro grants you a limited, non-exclusive, non-transferable, and revocable license to access and view the content on this website solely for your personal or internal business reference. This license does not include any right to:

  • Download, reproduce, or systematically copy website content for redistribution, commercial use, or resale;
  • Modify, translate, adapt, or create derivative works based on any material published on this site without Zybro's prior written consent;
  • Use data mining, robots, scrapers, crawlers, or similar automated data-gathering tools to extract content from this website;
  • Frame or mirror any portion of the website on any other domain or platform without express written authorization;
  • Attempt to reverse-engineer, disassemble, or otherwise derive the source code of any software component used by the website;
  • Access the website in a manner that could impair, disable, overburden, or damage its servers or the networks connected to them.

We reserve the right to suspend or permanently restrict access to any visitor who violates these Terms or uses the website in any way that we determine, in our sole discretion, to be harmful, abusive, or contrary to applicable law or regulation.

Zybro makes no guarantee that the website will be available at all times, free of errors, or accessible from all geographic locations. We may take the site offline temporarily for maintenance, upgrades, or for reasons outside our control, without prior notice and without incurring any liability to you.

Section 03

Intellectual Property

All content published on this website — including but not limited to text, graphics, photographs, illustrations, icons, logotypes, interface layouts, color schemes, data compilations, software code, and any multimedia elements — is the exclusive intellectual property of Zybro Tecnologia Ltda or is used by Zybro under a valid license from the respective rights holder.

The Zybro name, the Zybro logo, and all related product and service names, design marks, and slogans are registered or unregistered trademarks and trade dress of Zybro Tecnologia Ltda in Brazil and other jurisdictions. Nothing contained in these Terms or anywhere on the website should be interpreted as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, trade name, or service mark belonging to Zybro or any third party without the prior written consent of the owner of that mark.

You may print or save a single copy of individual pages from this website for your own non-commercial, informational use, provided that:

  1. You do not alter the content in any way;
  2. All copyright, trademark, and other proprietary notices contained in the original are preserved; and
  3. No charge is levied on any third party for such copies.

Any use of Zybro's intellectual property beyond the narrow permissions described above requires prior, specific, and written authorization signed by an authorized representative of Zybro Tecnologia Ltda. Unauthorized use of our intellectual property may give rise to claims for damages, injunctive relief, or both under Brazilian law and international intellectual property treaties.

Section 04

User Conduct

When visiting or otherwise interacting with this website — including by sharing its URL, embedding links, or referencing its content in public communications — you agree to act responsibly and in good faith. Specifically, you agree that you will not:

  • Use this website for any purpose that is unlawful, fraudulent, or harmful to Zybro or any third party;
  • Publish, transmit, or otherwise disseminate content obtained from this website in a manner that is defamatory, obscene, hateful, discriminatory, or that infringes any person's rights;
  • Impersonate Zybro, any Zybro employee, or any other person or entity in connection with information derived from this website;
  • Introduce viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful to the website or its infrastructure;
  • Attempt to gain unauthorized access to any part of the website, the servers on which it is hosted, or any database, system, or network connected to the website;
  • Use any content from this website in conjunction with misleading or deceptive communications that could cause recipients to form a false impression of Zybro's products, services, or endorsements;
  • Aggregate, republish, or commercially exploit Zybro's content without explicit written permission.
Any breach of these conduct standards may result in the immediate termination of your access rights and may expose you to civil and criminal liability under Brazilian Law No. 12.965/2014 (Marco Civil da Internet), the Brazilian Civil Code, the Brazilian Consumer Protection Code, and any other applicable legislation.

Zybro reserves the right — but assumes no obligation — to monitor access to and use of this website and to investigate any suspected violation of these Terms. We may share information about such violations with law enforcement authorities when required by law or when we believe disclosure is necessary to protect the rights and safety of Zybro, its partners, or members of the public.

Section 05

Third-Party Links

For your convenience or reference, this website may contain hyperlinks to websites operated by third parties, including technology partners, regulatory bodies, industry associations, or media outlets. These links are provided solely as a courtesy. Their presence does not constitute an endorsement, sponsorship, or recommendation by Zybro of the linked site, its operators, or any products, services, or content offered through it.

Zybro exercises no control over the content, privacy practices, security standards, or availability of any third-party website. When you leave the Zybro website by following an external link, you do so at your own risk. We strongly encourage you to review the terms of use and privacy policy of any third-party site you visit, as those policies — not ours — will govern your interaction with that site.

Zybro shall not be held responsible or liable, directly or indirectly, for any damage, loss, or prejudice caused or alleged to be caused by, or in connection with, the use of or reliance on any content, goods, or services available on or through any linked third-party website. If you wish to link to this website from a third-party platform, you may do so only in a manner that is fair and lawful, does not damage our reputation or suggest any form of association or approval where none exists, and does not reproduce our content in full. We reserve the right to require the removal of any link to our website without notice.

Section 06

Disclaimer of Warranties

The information, materials, and content published on this website are provided strictly on an "as is" and "as available" basis, without representations or warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Zybro expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties that the website or its content will be accurate, complete, current, reliable, error-free, or uninterrupted;
  • Warranties that the website is free of viruses or other harmful components;
  • Warranties that defects, if any, will be corrected.

While Zybro makes reasonable efforts to keep the information on this website up to date and accurate, the corporate technology sector evolves rapidly. Descriptions of software features, pricing structures, regulatory requirements, and market conditions referenced on this site may not reflect the most current developments. For binding or legally significant decisions, you should always seek independent professional advice rather than relying solely on information found on this website.

Nothing on this website constitutes legal, financial, tax, regulatory, or investment advice. Zybro is not a law firm, financial institution, or regulatory authority, and no content published here should be interpreted as creating a professional advisory relationship of any kind.

Section 07

Limitation of Liability

To the maximum extent permitted under Brazilian law and the applicable laws of any other jurisdiction, Zybro Tecnologia Ltda — including its directors, officers, employees, agents, licensors, and service providers — shall not be liable for any damages of any nature arising out of or in connection with your access to, use of, or inability to use this website or any content on it. This limitation applies to all categories of damages, including but not limited to:

  • Direct, indirect, incidental, consequential, or punitive damages;
  • Loss of data, profits, business, revenue, goodwill, or anticipated savings;
  • Damages arising from unauthorized access to or alteration of your transmissions or data;
  • Damages caused by reliance on information displayed on this website;
  • Damages resulting from interruptions to service, server failures, or the transmission of viruses or other destructive code.

This limitation of liability applies whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other legal theory, and even if Zybro has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages; in such jurisdictions, Zybro's liability shall be limited to the greatest extent permitted by law.

Because this website is a purely informational corporate brochure and does not facilitate any transaction, subscription, or contractual commitment, Zybro's aggregate liability arising from your use of this site shall in no event exceed BRL 100.00 (one hundred Brazilian reais).
Section 08

Indemnification

You agree to defend, indemnify, and hold harmless Zybro Tecnologia Ltda and its officers, directors, shareholders, employees, agents, attorneys, licensors, suppliers, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Use, in whole or in part;
  • Your access to or use of the website in a manner that is inconsistent with these Terms;
  • Any content you share, publish, or distribute that incorporates material from this website in an unauthorized manner;
  • Your infringement of any intellectual property or other rights of any person or entity;
  • Your violation of any applicable law, rule, or regulation in connection with your use of this website;
  • Any misrepresentation made by you regarding your authority to act on behalf of another person or organization.

Zybro reserves the right, at its own expense, to assume exclusive control of the defense of any claim for which you are required to provide indemnification. In that case, you agree to cooperate with our defense of such claims. You shall not settle any indemnified claim without Zybro's prior written consent.

Section 09

Governing Law & Jurisdiction

These Terms of Use, and any dispute, controversy, or claim arising out of or relating to them or the use of this website, shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any legal action or proceeding relating to these Terms or this website shall be brought exclusively in the courts of competent jurisdiction located in the city of São Paulo, State of São Paulo, Brazil. By accessing this website, you irrevocably consent to the personal jurisdiction of those courts and waive any objection based on improper venue or forum non conveniens.

Zybro Tecnologia Ltda is incorporated and registered under Brazilian law, with its operations subject to the oversight of Brazilian federal and state regulatory bodies. For matters specifically covered by Brazil's General Data Protection Law (Lei Geral de Proteção de Dados — LGPD, Law No. 13.709/2018) or the Brazilian Internet Civil Rights Framework (Marco Civil da Internet, Law No. 12.965/2014), the provisions of those laws shall apply as a mandatory overlay to these Terms where relevant.

If you are accessing this website from outside Brazil, you are solely responsible for compliance with any local laws that apply in your jurisdiction. The existence of this website does not constitute Zybro's presence, solicitation, or availability of services in any jurisdiction where such presence or activity would be unlawful.

Section 10

Changes to These Terms

Zybro reserves the right to review, update, or modify these Terms of Use at any time, at its sole discretion, to reflect changes in our business practices, changes in applicable law, or for any other reason we deem appropriate. When we make material changes to these Terms, we will update the "Last updated" date shown at the top of this page. In cases where changes are particularly significant, we may also make a general notice available on the website's homepage for a reasonable period.

The version of these Terms that is in effect at the time of your visit to the website governs that visit. Your continued use of the website after any updated Terms have been posted constitutes your binding acceptance of those changes. If you disagree with any revised Terms, your sole and exclusive remedy is to discontinue use of the website.

We encourage you to review this page each time you visit the website so that you remain aware of the Terms that govern your access. Zybro does not undertake any obligation to notify individual users by email or other personal communication when these Terms are updated, as the website itself is the authoritative source for the current version.
